Terms of service
These terms apply when you use this website or buy services from Cypher Outsourcing ("Cypher", "we", "us"), a trade name of Unified Markets LLC, a Wyoming limited liability company. "You" means the business that signs up and the person accepting these terms on its behalf. By requesting a quote, starting a plan or paying an invoice, you agree to these terms.
1. Our services
We provide bookkeeping and finance operations services for small businesses, as described on this website and in your quote, which may include transaction categorisation, reconciliations, month-end close, bills preparation, invoicing and collections reminders, management reports, catch-up work and year-end preparation for your tax preparer. Your quote and plan set out which services are included.
We aim to close your books by the fifth business day of each month once onboarding is complete and we have everything we need from you. That timing is a target, not a guarantee, and depends on you providing information on time.
2. What we don't do
- Cypher is not a CPA firm. We do not provide tax, legal, audit, review, compilation or other attest services, and nothing we provide is tax or legal advice.
- We do not prepare or file tax returns.
- We do not hold or move your money. We prepare bills and figures; you approve and release every payment yourself.
3. Your responsibilities
- Give us accurate, complete and timely information, documents and access, and tell us about anything unusual.
- Keep your accounting software subscription active and in your name.
- Review the reports we send and tell us promptly if something looks wrong.
- You remain responsible for your business's financial statements, tax filings, payments and compliance decisions.
4. Automation and review
We use automated workflows and AI tools to perform routine work, with human review of exceptions and samples of finished work. We are responsible for the work we deliver, whichever tools we use to produce it. Our privacy policy explains how data is handled, and our Data Processing Agreement covers the client data we process for you.
5. Fees and payment
- Plans are billed monthly in advance, in US dollars, by card or bank transfer through our payment processor. One-off work (such as catch-up months) is billed as quoted.
- You can instead pay 3, 6 or 12 months in advance for a discount of 10%, 20% or 30% on your plan and monthly add-ons. A prepaid plan renews for the same term at the same discount unless you cancel. Prepay discounts can't be combined with promotional codes.
- Prices exclude your accounting software subscription and any taxes that apply.
- If your monthly transaction volume is above your plan's limit for two months in a row, we'll suggest the right plan before any change.
- If a payment fails, we'll let you know and may pause work until it's resolved.
- We may change prices with at least 30 days' email notice; changes apply from your next billing period.
6. Cancelling
You can cancel at any time by email or through the billing portal. A cancellation can't take effect part-way through a month: it takes effect from the next month. On a monthly plan, service continues to the end of the month you've paid for and fees already paid are not refunded, except where the law requires. On a prepaid plan, service continues to the end of the current month; we then refund the amount you paid less the months used, recharged at the normal monthly price (because the prepay discount applies only to the full term), together with the matching share of any sales tax. We may end the service with 30 days' notice, or immediately if you seriously breach these terms. When service ends, we remove our access to your accounting system within 30 days. Your books and data stay with you.
7. Confidentiality and data
We keep your business information confidential and use it only to provide the services, except where disclosure is required by law. You own your data and your accounting records. You confirm you have the right to share with us any information about your customers, vendors and staff that you provide.
8. Corrections
If you tell us about an error in our work within 60 days of the report it relates to, we'll correct it at no extra charge.
9. Limits of liability
We provide the services with reasonable care and skill. Except for that, and to the extent the law allows, the services and this website are provided "as is" without other warranties. Neither of us is liable to the other for indirect, incidental, special or consequential losses, or for lost profits. Our total liability for any claim relating to the services is limited to the fees you paid us in the three months before the event that gave rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
10. General
- These terms are governed by the laws of the State of Wyoming, and the state and federal courts located in Wyoming have jurisdiction, unless the law requires otherwise.
- We may update these terms; we'll update the date above and give clients at least 30 days' email notice of material changes.
- If any part of these terms is found unenforceable, the rest still applies. These terms, your quote and our privacy policy are the whole agreement between us about the services.
